REPRESENTATIVE REAL ESTATE/FINANCIAL MATTERS

Hobby & Hobby, P.A. represents local and a variety of individuals, large and small estates in transactional work such as title insurance, lease drafting and negotiations, purchase and sale drafting and negotiations, bank and private lending financing and general transactional work such as:

  • Leasing.  Drafting and negotiating leases with national tenants, such as Publix Supermarkets, Circle K, Taco Bell,  7-11 and Dunkin’ Donuts.
  • Lending Transactions.  Drafting and negotiating secured loan documents on behalf of lenders.
  • Real Estate and Construction.  Comprehensive representation of several large, local developers.
  •  Acquisition of Large Non-Performing Loans.  Representing buyers of non-performing loans throughout Florida, successfully negotiating and closing a variety of pre and post-judgment loan purchase agreements, performing due diligence regarding the loans and underlying property, including reviewing loan documents and providing opinion letters as to enforceability of loan documents, ensuring status of land use approvals, entitlements and concurrency, and reviewing title and survey.
  • Transactions Involving the Sale of Large, Partially-Developed Residential Communities.  Represented buyers in the acquisition of partially-developed residential communities throughout Florida, some of which include Community Development Districts (CDDs), including the negotiation of purchase and sale agreements, assignment of development rights, performing all due diligence regarding the subject properties.
  • Title Agent. Acting as title agent in many large real estate transactions.
  • Sale-Leaseback Transactions.  Representing sellers in sale-leaseback transactions involving numerous tenants and subtenants on income-producing properties.
  • Loan Workouts and Modifications.  Comprehensive representation of local community banks, including drafting and negotiating loan documents, loan workouts, modifications and forbearance agreements.
  • Lot Takedown Contracts.  Negotiating drafting contracts and representing sellers through closings as part of lot takedown agreements with several public-traded builders.
  • Short Sales.  Representing buyers of short sales and ensuring compliance with required disclosures to avoid any potential legal exposure to buyer.
  • Foreclosures.  Representing developers and financial institutions in contested and uncontested foreclosures through the issuance of Certificate of Title.
  • Eminent Domain/Inverse Condemnation.  Representing, with affiliated co-counsel, numerous landowners in negotiated settlements with variety of condemning authorities.
  • Non-Residential Condominiums.  Structuring and drafting a variety of office, industrial and hangar declarations of condominium and all supporting documentation.
  • Construction Contracts.  Drafting and negotiating construction contracts forms.
